MINNESOTA SUPER BOWL HOST COMMITTEE LEGACY FUND “SUPER SNACK CHALLENGE” CONTEST Official Rules

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS CONTEST.

1. CAN I ENTER?
The Minnesota Super Bowl Host Committee Legacy Fund “Super Snack Challenge” Contest (the “Contest”) is open only to children 8-14 years old at the time of entry and their parent or legal guardian, both of which are legal residents of the State of Minnesota (such eligible parent or legal guardian hereafter, a “Parent”, and such child between the ages of 8 and 14, inclusive, hereafter, a “Child”). The judges, officers, directors, trustees, members, and employees of the Sponsor, the Minnesota Super Bowl Host Committee Legacy Fund (“Fund”), Newman’s Own Foundation, and their respective parents, affiliates and subsidiaries, and the immediate family (i.e., parents, children, siblings, spouse) and household members of such individuals, are not eligible to win. “Household members” shall mean people who share the same residence at least three consecutive months a year, whether related or not. This Contest is void outside the State of Minnesota. By participating in this Contest, each Parent (on behalf of him/herself and his/her Child) hereby: (a) accepts and agrees to be bound by these Official Rules; and (b) acknowledges that all decisions of the Sponsor and the judges regarding this Contest are final and binding in all respects. Further, by participating in this Contest, each Parent: (a) acknowledges that he/she is acting on behalf of him/herself and his/her Child as it relates to the Contest; and (b) represents and warrants that if his/her Child has another parent or legal guardian, the Parent has obtained consent from such other parent or legal guardian prior to participation in the Contest. Any violation of these Official Rules may, in Sponsor’s sole discretion, result in disqualification.

2. WHAT IS THE CONTEST ABOUT?
The Contest is designed to encourage children ages 8-14 to create and submit a healthy snack recipe that meets the judging criteria further described below in Rule 4. All entries must be submitted by a Parent on behalf of his/her Child. The Contest begins12:01 AM CT Tuesday, August 15, 2017 and ends 11:59 PM CT Monday, October 16, 2017 (the “Contest Period”). Online entries must be received by the end of the Contest Period. Mail-in entries must be postmarked by the end of the Contest Period and received no later than three (3) days thereafter (Thursday, October 19, 2017). This Contest is administered and presented by the Minnesota Super Bowl Host Committee Legacy Fund (the “Sponsor”).

3. HOW DO I ENTER.
Entries may be made either by (i) following the instructions for Parents to submit the online entry form at http://www.mnsuperbowl.com/supersnack or (ii) to: Super Snack Challenge 200 South 6th Street, Suite 1145 Minneapolis, MN 55402 If you do not have internet access at home, free internet access is available at most public libraries and schools. If you would like to participate without using the internet, you can request a copy of the entry form and these Official Rules by mailing a self-addressed, stamped envelope to Entry Form Request, Super Snack Challenge, 200 South 6th Street, Suite 1145, Minneapolis, MN 55402. It is recommended that you mail your request no later than September 25, 2017. This should allow adequate time for fulfillment of your entry form request, and subsequent time for you to complete your entry form and return it by mail (to the address specified on the entry form) by the final postmark deadline of Monday, October 16, 2017. The parent/guardian who is most likely to accompany the Child, if selected, to the third round of judging activities (see Rule 4), should be the parent/guardian who completes the entry form. All entries must consist of an original recipe for a healthy snack (consistent with the judging criteria described in Rule 4) that is authored by an eligible Child of an eligible Parent (as described in Rule 1 above). The Child may enlist assistance from his/her family members and community youth workers in working on and testing the recipe. Each entry must include: (i) the title of the recipe; [45 character limit] (ii) a brief written description giving some background information about the recipe. For example: How did you come up with it? How does your recipe represent your heritage? [1000 character limit] (iii) an ingredient list in order of use with exact measurements given in common U.S. household measures such as teaspoon, tablespoon, and cup; along with halves, thirds, quarters and eighths of these; pounds, ounces, fluid ounces, and common sizes such as can (size varies depending on product), jar, square (e.g., 1 ounce of chocolate), stick (e.g., 4 oz. butter), or fruit/vegetable (e.g., a half lemon, 2 medium onions). All ingredients must be commonly available at local retailers and must be referred to by generic name, not brand name. [1000 character limit] (iv) step-by-step preparation instructions, including cooking times; [2000 character limit] (v) the number of servings the recipe will make; and (vi) a photograph or drawing of the completed snack (photographs may, but do not need to include, the Child and Parent; pictures submitted online must be under 2MB and formatted as jpg, png, or non-animated gif). All text, photographs, images, illustrations, drawings, and other content and materials submitted by the Parent, including without limitation, the items described in subsections (i) - (vi) above, shall be referred to hereafter as the “Submission.” All Submissions must be in English. Written descriptions, ingredient lists, and preparation instructions may not exceed the space allotted on the entry form. All Submissions must be submitted by a Parent on behalf of his/her Child. Under no circumstances will a Child be allowed to submit information online, and any such submissions will be “void” and not accepted. Limit one (1) Submission per Child meeting the eligibility requirements set forth in Rule 1. Submissions that are not in compliance with these Official Rules may be ineligible to participate in the Contest and, in the sole discretion of the Sponsor, may not be submitted for judging. Each Parent (on behalf of him/herself and his/her applicable Child) acknowledges that others may have or submit to this Contest the same or similar ideas/recipes, agrees that neither Sponsor nor any other party shall have any responsibility or liability arising from such similar ideas/recipes, and waives any claims or damages of any kind or nature should Sponsor pursue, in any manner, any such submission to this Contest or from a third party. Once submitted, no further changes may be made to the recipe, title, written description, ingredients, or steps. All Submissions are final. By submitting the Submission into the Contest, each Parent agrees and consents (on behalf of him/herself and his/her applicable Child) to Sponsor’s collection, use and retention of their personal information provided in their Submission for all purposes related to the Contest (including, without limitation, processing and administering Submissions, sharing a participant’s personal information with Sponsor’s service providers, contractors, prizing partners, etc. as necessary to conduct and operate the Contest, communicating with and awarding prizes to finalists/winners, making public announcements about finalists/winners, and advertising, promoting and publicizing the Contest), as well as in accordance with the Minnesota Super Bowl Host Committee Privacy Policy published at http://www.mnsuperbowl.com/policy, provided that in the event of any conflict between these Official Rules and such Privacy Policy, the terms and conditions of these Official Rules shall prevail. Please review the Privacy Policy and these Official Rules before submitting your Submission. IF YOU OBJECT TO ANYTHING STATED IN THE PRIVACY POLICY OR THESE OFFICIAL RULES, YOU SHOULD NOT ENTER THE CONTEST.

4. HOW DO I WIN?
There will be three rounds of judging. In the first and second round of judging, Submissions will be judged against other Submissions submitted from the same geographic region of the state. There are 5 regions of the state: (i) Twin Cities Metro, (ii) Northwest MN, (iii) Northeast MN, (iv) Southwest MN, and (v) Southeast MN. Each region is generally shown for general reference in the map below: INSERT PICTURE OF MAP OF 5 REGIONS Each entry form will allow entrants to “self-designate” the region of the state against which they want their Submission to be judged against other Submissions. First Round. Employees and others associated with the Sponsor will conduct the First Round of judging by selection 52 entries representing all 5 regions of Minnesota to compete in the Second Round. The 52 semi-finalists will be notified by October 23, 2017. Upon contacting the Parents of potential winners and determining that such Parents and Children have met all requirements of the Contest and these Official Rules, such Children will be declared “Semi-Finalists” and eligible to compete in the Second Round of judging. Second Round. Chefs selected by the Sponsor will conduct the Second Round of judging. At the conclusion of the Second Round the two (2) Submissions with the highest score in each of the 5 Regions of the state will be declared “Finalists” and be eligible to compete in the Third Round of judging – the “live”preparation of their snack for judging by a panel of celebrity judges. It is expected that Finalists will be contacted on or about November 16, 2017 in order to be prepared to compete in the Third Round live chef judging panel event on November 28, 2017. Third Round. The ten (10) Finalists will travel to the Twin Cities where they will prepare their snack on November 28, 2017 for judging by a panel of celebrity chefs selected by the Sponsor. Each Finalist must be accompanied by one (1) of his/her parents or legal guardians, who must also secure the permission of such Child’s other parent or legal guardian, if any, to accompany the Finalist, or Finalist forfeits participation in Round Three and an alternate Finalist may be chosen. The Contest will conclude with the selection of one (1) Grand Prize winner and a first and second place runner-up winners. The odds of winning depend on the number of Submissions made to each of the state’s Regions, and the relative performance of the Children who have chosen to participate in each Region. Method of entry (by mail or online) does not affect the opportunity to win. Judges will review and score the overall effort of all eligible Submissions based on the following guideline criteria: (a) 40% of the score will be based on the overall health profile of the recipe (based upon such factors as use of vegetables and /or fruit, 100% whole grains such as pasta, tortilla, brown rice, etc.:healthy protein such as beans, peas, nuts, seeds, fish, eggs, lean meat/ poultry, etc.; limited dairy such as unflavored milk, plain yogurt, small amounts of cheese and other unsweetened dairy foods; healthier fats such as olive oil, safflower oil, canola oil, etc.; no added sugar, moderate to low salt and no artificial sweeteners/flavors). (b) 10% of the score will be based on preparation (e.g., such factors as ease of preparation, skill and technique involved in preparing the snack). (c) 30% of the score will be based on taste (points for taste will be awarded only in the Third Round when each of the Finalists’ recipes as prepared and tasted; points will be based upon such factors as sense of seasoning, overall balance and desirability). (d) 20% of the score will be based on creativity and originality (based upon the Submission’s incorporation of a theme, unexpected combination of ingredients, presentation and garnished). Submissions with the highest point totals will be the potential winners in each judging round. In the event of a tie in any round of judging, the Submission with the higher score in the “healthy profile” criterion will prevail. In the event that an insufficient number of eligible Submissions meeting a minimum threshold of quality, in Sponsor’s sole discretion, are received from a particular Region, Sponsor reserves the right to allocate additional winners from one or more other Region and thereby not include any Submission from any such Region in the Third Round of judging. At the conclusion of both the First and Second Rounds of judging, each Parent of a potentially winning Child will be notified by mail, email, and/or telephone. If any such Parent: (i) cannot be contacted; (ii) does not respond within five (5) days from the date the Sponsor first tries to notify him/her using the information provided by the entrant on their official entry form; (iii) fails to return the Affidavit and Release as specified in Rule 9 below; (iv) declines to participate in the Third Round of judging on behalf of his/her Child; (v) does not meet the requirements of this Contest and these Official Rules, including without limitation the failure to execute required waivers, publicity and liability releases and disclaimers, and, at Sponsor’s discretion, fails to successfully complete a background check, or if the prize or prize notification sent to such Parent is returned as undeliverable, such Parent and applicable Child forfeit all rights to win the Contest or receive a prize, and in Sponsor’s sole discretion, an alternate potential winner may be selected from such Region by the means of the judging criteria described herein.

5. WHAT CAN I WIN?
Fifty-Two Semi-Finalist Prizes. Each of the 52 Round One winners will receive a copy of the Contest’s Top 52 Recipes Cookbook, four (4) tickets to the Kid’s Tailgate Party at the Minnesota Super Bowl Host Committee’s Bold North Festival. The approximate retail value (“ARV”) of each Honorable Mention prize is $ 300 each; total ARV all Honorable Mention prizes: $ 15,600. Ten (10) Finalists Prizes. Each of the ten (10) Round Two Finalists will receive the right to designate a charity (subject to approval by the Sponsor) to receive $1,000. The ARV: $ 1,000 each; total ARV all Finalists Prizes: $ $10,000. Grand Prize, First & Second Runners-Up. One (1) Grand Prize, First and Second Runner-Up winners will each receive the right to designate a charity (subject to approval by the Sponsor) to receive contributions of $ 25,000, $ 15,000 and $ 10,000, respectively. Total ARV all prizes: $ 75,600. Additional prizes may be announced later – visit the Contest website (https://www.mnsuperbowl.com/supersnack)from time-to-time for additional prize and other Contest information.

6. TAXES.
All federal, state and/or local income and other taxes associated with a prize, if any, are the sole responsibility of the applicable Winner and his/her parents/legal guardians.

7. OWNERSHIP AND LICENSE.
Each Parent represents and warrants that his/her Submission is his/her Child’s original work, produced in collaboration with his/her parent(s), has not been copied from others, and does not violate any law or regulation or the rights of any other person or entity. Each Parent further represents and warrants that his/her Submission adheres to the fundamental spirit of the Contest and does not contain any defamatory, obscene, or otherwise unlawful matter or contain any other inappropriate content (as determined by Sponsor). Sponsor may, in its sole discretion, edit or delete any Submission. All entry materials become the property of the Sponsor and will not be acknowledged or returned. The copyright in any Submission shall remain the property of the Parent and applicable Child. By entering this Contest, each Parent (on behalf of him/herself and his/her applicable Child) grants to Sponsor a non-exclusive, irrevocable, fully transferable and perpetual license to use, reproduce, print, publish, transmit, distribute, sell, perform, adapt, enhance, or display such Submission without compensation and for any purpose related to the Contest, including but not limited to the electronic or print publication of recipes and other materials submitted by entrants along with editorial, advertising, trade, commercial, and publicity purposes by the Sponsor and/or others authorized by the Sponsor, in any and all media now known or hereafter created, throughout the world, with or without attribution, for the duration of the copyright in the Submission. Sponsor and/or others authorized by the Sponsor shall have the right to edit, adapt, and modify the Submission.

8. NO PRIZE TRANSFER OR SUBSTITUTION.
No prize or any portion thereof is transferable or redeemable for cash. Any portion of the prize that is not used is forfeited. No substitutions for the prize may be made except by Sponsor, in which case a prize of equal or greater value will be substituted.

9. CONSENT AND RELEASE.
By entering the Contest, each Parent on his/her own behalf and on behalf of his/her Child(ren), and their heirs, executors, successors, and assigns, hereby release and discharge each Sponsor, judging organization(s), judges, prize provider(s), and any other party associated with the development or administration of this Contest, their parent, subsidiary, and affiliated entities, and each of their respective officers, directors, trustees, members, shareholders, employees, independent contractors, licensees, insurers, agents, representatives, successors and assigns (collectively, “Sponsor Entities”), from any and all liability, injuries, losses, damages, claims, demands, actions, costs and expenses of any nature (including without limitation personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light) in connection with this Contest or the acceptance and use of any prize, including but not limited to acceptance and use of any travel, accommodations, food, products, and activities that may be associated with the prize (collectively, “Claims”). Except where prohibited: (i) participation in the Contest constitutes the consent of each Parent on behalf of him/herself and his/her applicable Child (and his/her agreement to confirm such grants in writing), without compensation, to use their names, pictures, likenesses, voices, biographical data, contact information, and statements (taken from any source including photographs and videos taken at Contest-related events) for any purpose related to the Contest, including but not limited to the creation of Contest-related web videos, publication of recipes and other materials submitted by entrants, and other editorial, advertising, marketing, publicity, and administrative purposes of the Sponsor and/or others authorized by the Sponsor, in all media now known or hereafter discovered, worldwide and on the Internet and World Wide Web, without notice, review or prior approval; (ii) participation in the Contest constitutes the consent of each Parent to be contacted by the press for interviews if his/her Child is selected as a First, Second or Third Round winner; (iii) participation in the Contest constitutes a release by any Parent (and applicable Child) of the Sponsor Entities of any and all Claims in connection with the administration of this Contest and the use, misuse, or possession of his/her Submission or any prize; (iv) participation in the Contest constitutes each Parent and applicable Child’s consent to and agreement to reasonably cooperate with a background check that will be conducted on each potentially winning Parent, applicable Child, and their families; and (v) each potentially winning Parent and applicable Child will be required to complete, sign, get notarized, and return to Sponsor or its designated representative a document (called an “Affidavit and Release”) to provide his or her social security number and date of birth, and to confirm such persons’ eligibility for this Contest and consent to these Official Rules, including without limitation the consent, release, and grant of rights/licenses set forth in Rules 7 and 9. Such Affidavit and Release must be returned within five (5)calender days from the receipt of notification to Sponsor and will be maintained by Sponsor.

10. DISCLAIMERS.
(i) The Sponsor Entities are not responsible for Submissions that are lost, late, misdirected, incorrect, garbled, or incompletely received, for any reason, including by reason of hardware, software, browser, or network failure, malfunction, congestion, or incompatibility at Sponsor Entities’ servers or elsewhere. In the event of a dispute, Submissions will be deemed submitted by the authorized account holder of the e-mail address submitted at the time of entry. “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet Access Provider, online service provider, or other organization (e.g., business, educational institute) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Entrants are expected to, and shall, retain copies of all portions of their Submissions and shall not rely on the Sponsor to retain same. (ii) The Sponsor, in its sole discretion, reserves the right to disqualify any person tampering with the entry process or the operation of the web site or otherwise attempting to undermine the legitimate operation of the Contest. Use of bots or other automated process to enter is prohibited and may result in disqualification at the sole discretion of the Sponsor. (iii) The Sponsor further reserves the right to cancel, terminate or modify the Contest if it is not capable of completion as planned, including by reason of infection by computer virus, bugs, tampering, unauthorized intervention, force majeure or technical failures of any sort. (iv) Sponsor Entities are not responsible for errors in the administration or fulfillment of this Contest, including without limitation mechanical, human, printing, distribution or production errors, or for injury or damage to entrants’ or to any other person’s computer related to or resulting from participation in this Contest or downloading or printing materials of any kind related to this Contest. The Sponsor may cancel, terminate or modify this Contest based upon such error at its sole discretion without liability. In no event will the Sponsor be responsible for awarding more than the number of prizes specified in these Official Rules. (v) In the event this Contest is cancelled or terminated, pursuant to subsection (iii) or (iv), Sponsor, in its sole discretion, may elect to select one or more winners from among all eligible Entrants received up to the date of discontinuance for any or all of the prizes offered herein. (vi) SPONSOR ENTITIES MAKE NO WARRANTIES, REPRESENTATIONS OR GUARANTEES, EXPRESS OR IMPLIED, IN FACT OR IN LAW, AS REGARDS THIS CONTEST OR THE MERCHANTABILITY, QUALITY OR FITNESS FOR A PARTICULAR PURPOSE REGARDING ANY PRIZE OR ANY COMPONENT OF ANY PRIZE. (vii) CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST MAY BE A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVE THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING WITHOUT LIMITATION ATTORNEYS’ FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. (viii) The value(s) of the prize(s) set forth above represent Sponsor’s good faith determination of the approximate retail value(s) thereof; the actual fair market value(s) as ultimately determined by Sponsor are final and binding and cannot be challenged or appealed. In the event the stated approximate retail value(s) of a prize is more than the actual fair market value of that prize, the difference will not be awarded in cash or otherwise. No substitution or compensation will be given for any portion of the prize that is not used.

11. INDEMNITY:
By entering the Contest, each Parent, on his/her own behalf and on behalf of his/her applicable Child, agrees to indemnify and hold the Sponsor Entities harmless from any and all claims, damages, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements), brought or asserted by any third party against any of the Sponsor Entities due to or arising out of his/her Submission, or his/her conduct in creating a Submission or otherwise participating in this Contest, including but not limited to: claims for trademark infringement; copyright infringement; violation of an individual’s right of publicity or right of privacy; or defamation.

12. MODIFICATION.
Sponsor reserves the right, at its sole discretion, to modify, cancel, postpone, delay, suspend and/or terminate the Contest and/or any Round of the Contest in the event that the Contest or such Round is not capable of being run as planned or intended by these Official Rules by reason of any technical or other disabling causes or other causes that, in the sole discretion of the Sponsor, impair, corrupt or interrupt the administration, fairness, security, proper conduct or integrity of the Contest, including without limitation, hurricane, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, war, terrorist threat or activity or insurrection, computer virus or bug, unauthorized human intervention or other causes.

13. DISPUTE RESOLUTION / CHOICE OF LAW.
The decisions of the Sponsor and judges are final on all matters relating to the Contest including, without limitation, the construction, validity, interpretation and enforceability of these Official Rules. Any and all disputes, claims, and causes of action of every kind and nature including, but not limited to, initial claims, counterclaims, cross-claims, third party claims and claims based upon contract, tort, intentional tort, statutes, regulations, common law and equity arising out of or in connection with this Contest, or any prize awarded, shall be resolved individually, without resort to any form of class action or any purported representative capacity on behalf of others similarly situated, and any judicial proceeding shall take place in a federal or state court for Hennepin County, Minnesota, and any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees, provided, however, the non-prevailing party shall be liable to the prevailing party for the reasonable attorney fees and other out-of-pocket expenses actually incurred by the prevailing party with respect to such proceeding. Under no circumstances will a Entrant be permitted to obtain awards for, and each Entrant hereby waives all rights to claim punitive, incidental, or consequential damages, any other damages other than actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the printing, construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participants and the Sponsor in connection with the Contest, shall be governed by and construed in accordance with the laws of the State of Minnesota, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of Minnesota or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of Minnesota.

14. WINNERS LIST.
For a list containing the names of the winners, send a self-addressed stamped envelope, within ninety (90) days of the Notification Date to: Winner List, Super Snack Challenge, 200 South 6th Street, Suite 1145, Minneapolis, MN 55402.

15. SPONSOR.
Minnesota Super Bowl Host Committee Legacy Fund, 200 South 6th Street, Minneapolis, MN 55402. Sponsor is supported by a substantial contribution from Newman’s Own Foundation. Sponsor reserves the right to cancel the Contest at any time and substitute another promotion in its place.
